Agreement Terms and Conditions

The following contains the complete terms and conditions that apply to an individual's or entity's participation in the Peekay Inc. Affiliate Program for now on known as the "Program". For the following, "We" means Peekay Inc, "You" means the affiliate, and "product" or "products" mean any items offered for sale. "Site" means your World Wide Web site or URL, and, depending on the context, referring to the WWW, or to the site that you will link to our program.

1. Enrollment in the Program
   To begin the enrollment process, please submit a completed sign up form via the program web site (http://www.adultstorecash.com). Peekay, Inc. may reject your sign up and/or terminate your participation in the Program if we determine that your site is unsuitable for or contains content that is unsuitable to the Program and the representation of Peekay Inc. These determinations will be solely at the discretion of PK Inc. Examples of unsuitable sites or content include:
   • Any illegal activities such as child pornography, rape, bestiality or child abuse
   • Discrimination based on race, sex, religion, nationality, disability, sexual orientation or age
   • Violation intellectual property rights, copyrights, fraud, and inappropriate web format
   • Site owners or operators who are under the legal age of 18 years
2. Listing of our Program
   You will place an appropriate link to our catalog on your site. The full catalog will be hosted from our server. You will be responsible for any additional content you feel necessary to achieve a presence in the Adult industry.
   
   The following content will be provided by Peekay Inc, (http://www.adultstorecash.com);
   A full featured Adult Product Catalog, fully functional and ready to generate sales. Style and placement of the link are your responsibility. You may add or delete links from your site at any time without our approval. You may contact us with any questions or comments regarding the program at info@adultstorecash.com. This program is FREE to qualified applicants.
3. Order Processing
   We will process product orders placed by customers who follow the catalog links from your site. We reserve the right to reject any order or orders that do not comply with the requirements that we periodically may establish. We will be responsible for all aspects of order processing, customer service and order fulfillment.
   
   Including:
   • Payment processing
   • Drop shipment of products
   • Cancellations and returns
   • Online catalog maintenance
   • Inventory maintenance
   • Customer service
   • Affiliate sales tracking
4. Commission Schedule
   You will earn a commission based on the total actual selling price of each product when it is processed and shipped. Sales Price means the gross amount of each product sold, minus shipping & handling. Sales Volume is determined by the total dollar value of your shipped sales on a monthly basis, from the first day to the last day of each calendar month. Documented consumer fraud or Charge backs and returned orders/items may be discounted from Sales Volume amounts.
   
   The current commission schedule is:
   Commission checks are produced for $25.00 and up.
   20% of monthly gross sales up to $2,500.00
   25% of monthly gross sales above $2,500.00
   
5. Commission Payment
   Payment will be paid on a monthly basis. Approximately 10-15 days following the end of each calendar month, we will provide payment via agreed upon procedure. By default Peekay Inc. produces a check using the information via your account, and utilizes standard (USPS) mail to deliver payment.
6. Policies and Pricing
   Customers who purchase products are deemed to be customers of Peekay Inc.; accordingly, all Peekay Inc. rules, policies and operating procedures concerning customer orders, customer service and product sales will apply to those customers. We may change our policies and operating procedures at any time. For example, we will determine the prices to be charged for products sold under this Program in accordance with our own pricing policies. Product prices and availability may vary from time to time. We will use commercially reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular product.
7. Limited License Agreement
   We grant you a non-exclusive, revocable right to use such images for which we grant express permission solely for the purpose of identifying your site as a Program participant. You may not modify any of our images in any way. We reserve all of our rights in all images, our trade names and trademarks and all other intellectual property rights and copyrights. We may revoke your program at any time, with or without giving you written notice. As part of this Program the Associate or Associates, WILL NOT ENGAGE IN SPAMMING AS A WAY OF ADVERTISING FROM OUR SERVER(S). Spamming will result in your immediate termination from the Program. NO warning will be issued and legal action may be taken. We strongly advocate the promotion of your website and will be of any assistance if possible.
8. Responsibility for your Site
   You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site.
   
   For example, you will be solely responsible for:
   • The technical operation of your site and all related equipment
   • Posting links on your site and linking to our catalog
   • The accuracy and appropriateness of materials posted on your site
   • Ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including copyrights, trademarks, and privacy or other personal or proprietary rights)
   • Ensuring that materials posted on your site are not libelous or otherwise illegal
   • Ensuring that NO SPAMMING will be done from our server and does not violate any internet spamming policies
   • Any account without sales activity for one year (no sales and under a certain amount of unique visitors per year) will be deleted to keep our affiliate program running as efficient as possible for everybody.
   We will provide the newest products at the most competitive pricing to ensure that you and your clients are receiving the very best in adult content. We will constantly maintain a fully functional and professional online catalog.
   
   We disclaim all liability for these matters. Further, you will indemnify and hold us harmless from all claims, damages and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of your site.
9. Term of the Association
   The term of your status as an Affiliate Program member will begin upon your signup form completion and placement of the required links on your website. Association will end when terminated by either party. Termination of this Agreement may occur at any time, with or without cause, by giving the other party written notice of termination.
10. Program Modification
    We may modify any of the terms and conditions contained in this Program, at any time and in our sole discretion, by posting a change notice or a new agreement on our site. Modifications may include for example changes in the scope of: Commission Schedules, Commission Payment procedures and Program rules. Existing Affiliates will be notified via e-mail of any changes prior to them being implemented. Continued involvement in the Program will constitute your acceptance of Program Modifications.
11. Relationship of Parties
    You and we are independent contractors and nothing in this Program will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this section. We would like the opportunity to hear any suggestions or comments that you or your clients feel necessary to achieve a better relationship with all concerned parties.
12. Limitation of Liability
    We will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to the Program will not exceed the total Commission Payment paid or payable to you under this Program.
13. Disclaimers
    We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, non-infringement or any implied warranties arising out of a course of performance, dealing or trade usage). In addition, we make no representation that the operation of our site will be uninterrupted or error free, and we will not be liable for the consequences of any interruptions or errors.
14. Independent Investigation
    YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS AND AGREE THERETO. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT AFFILIATES ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS PROGRAM OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH ABOVE.
15. Copyright and Trademarks
    We are the sole owner of ALL toy store catalogs and the program/design/functionality and format. Any misrepresentation by anyone in the program will be dealt with in a legal and punitive way. You will be sued and prosecuted to the fullest extent of the law.
